Submitting an enquiry or requesting a strategy call does not automatically establish a client relationship or require either party to enter into a service agreement.

Information on This Website

We aim to provide clear, useful, and accurate information about our digital marketing services. However, website content is provided for general informational purposes and may change without notice.

Service descriptions, illustrative designs, examples, and general recommendations do not constitute a binding offer unless expressly stated in a written proposal or agreement.

You should assess whether a service is suitable for your business before making a commercial decision. Where appropriate, we may recommend a discussion to clarify your objectives and requirements.

05

Enquiries and Strategy Calls

When you submit a contact form, request a strategy call, or contact us about a project, you agree to provide information that is accurate to the best of your knowledge and that you are authorized to share.

We may use the information you provide to:

  • Respond to your enquiry.
  • Understand your business requirements.
  • Discuss potential services and project scope.
  • Prepare proposals or quotations.
  • Communicate about your request.

Submitting an enquiry does not guarantee service availability, acceptance of a project, a particular quotation, or a specific response time.

The handling of personal information is described in our Privacy Policy.

06

Service Scope and Client Agreements

The scope of any paid engagement will be defined in the applicable proposal, quotation, or written agreement.

Depending on the project, the agreement may specify:

  • Fees, payment schedules, and applicable taxes.
  • Client responsibilities and approval requirements.
  • Project timelines and dependencies.
  • Revision limits and additional work charges.
  • Advertising budget and campaign management responsibilities.

  • Maintenance, support, and post-launch services.
  • Cancellation, termination, and handover arrangements.

Work outside the agreed scope may require a revised quotation or written approval.

If these website terms conflict with a separately signed service agreement, the service agreement will govern the relevant engagement to the extent of the conflict.

07

Website Design and Development Services

For website design, WordPress development, and landing page projects, clients are responsible for providing accurate business information, required content, approvals, and access to relevant systems in a timely manner.

Unless expressly included in the agreed scope, website services may not include:

  • Domain registration or renewal fees.
  • Hosting or third-party subscription costs.
  • Premium themes, plugins, stock assets, or other paid licences.
  • Extensive copywriting, photography, video production, or branding.
  • Ongoing maintenance, security monitoring, or technical support.

  • Guaranteed search engine rankings or traffic.

Any exclusions, dependencies, revision limits, and handover arrangements should be confirmed in the project agreement.

We may rely on third-party platforms, plugins, hosting providers, and integrations to deliver website functionality. Their availability, pricing, features, and policies may change independently of Digital Vemula.

08

Meta Ads and Google Ads Services

Digital Vemula may provide campaign planning, setup, management, optimization, creative direction, reporting, and related advertising services, as specified in the applicable agreement.

Advertising performance depends on multiple factors, including market demand, competition, budget, audience, offer, creative quality, website experience, platform decisions, and client sales processes.

We do not guarantee a specific number of leads, enquiries, sales, conversions, rankings, or return on advertising spend.

Unless otherwise agreed in writing:

  • Advertising spend paid to Meta, Google, or another advertising platform is separate from Digital Vemula's service fees.
  • Clients are responsible for the accuracy and legality of claims, offers, prices, and business information supplied for their campaigns.
  • Campaigns may be subject to platform review, rejection, restrictions, or suspension.
  • Changes in advertising platform policies, algorithms, bidding systems, and costs may affect campaign performance.
  • Access to advertising accounts, tracking systems, and business assets must be authorized by the relevant account owner.
  • Work performed and deliverables provided will be determined by the agreed scope.

We may recommend changes to campaign settings, budgets, creatives, or landing pages based on available information, but final commercial decisions and the handling of resulting enquiries remain subject to the client agreement.

09

Advertising Platform Policies

Meta, Google, and other third-party platforms operate under their own terms, advertising policies, and eligibility requirements.

Clients must ensure that their products, services, advertisements, landing pages, and business practices comply with applicable laws and platform policies.

Certain industries—including healthcare and real estate—may be subject to additional advertising restrictions, disclosure requirements, or targeting limitations.

We reserve the right to decline or discontinue work that we reasonably believe would require unlawful conduct or a material violation of applicable platform policies, subject to the relevant service agreement and applicable law.

Digital Vemula does not control third-party platform decisions and cannot guarantee account approval, uninterrupted access, or the continued availability of any advertising feature.

10

Fees and Payments

Fees, payment deadlines, taxes, deposits, milestones, and any applicable late-payment terms will be specified in the relevant proposal, quotation, invoice, or service agreement.

Clients agree to pay the fees for services in accordance with the agreed payment terms.

Third-party costs, including advertising spend, hosting, domains, software subscriptions, and licences, may be charged separately where applicable.

Any refund, cancellation, or adjustment will be handled according to the agreed service terms and applicable law. No refund policy should be inferred solely from this general website page.

11

Intellectual Property Rights

Unless otherwise stated in writing, the content on this website—including text, graphics, visual designs, branding elements, and other original materials—is owned by Digital Vemula or used with appropriate permission and is protected by applicable intellectual property laws.

You may view the website and use its information for personal or internal business reference. You must not reproduce, republish, distribute, commercially exploit, or create derivative works from protected website content without authorization, except where permitted by law.

Ownership and licensing of client-specific deliverables, such as website designs, source files, advertising creatives, copy, and other project assets, will be governed by the relevant project agreement.

Third-party fonts, plugins, themes, images, software, and other licensed assets remain subject to their respective licence terms.

12

Client Materials and Permissions

Clients must ensure that they have the necessary rights, permissions, licences, and consents to provide materials for use in a project or advertising campaign.

These materials may include:

  • Logos and brand assets.
  • Photographs, videos, and written content.
  • Customer testimonials and reviews.
  • Product descriptions, offers, and claims.
  • Website content and third-party intellectual property.
  • Customer lists or other audience data used for advertising, where permitted.

Clients remain responsible for the accuracy and lawful use of materials they supply. Digital Vemula may request clarification or decline to use materials that appear unauthorized, misleading, or inconsistent with applicable requirements.

13

Confidentiality

During a project, either party may share non-public business information with the other.

Both parties should take reasonable steps to protect confidential information and use it only for the relevant business purpose, subject to applicable law and any separate confidentiality agreement.

Information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law may be treated differently, as appropriate.

Any specific confidentiality obligations agreed in a separate contract will govern the relevant engagement.

14

Third-Party Websites and Services

Our website or services may link to or integrate with third-party platforms, software, tools, plugins, hosting services, and analytics providers.

These third parties operate independently and may have their own terms, privacy policies, fees, and service limitations.

Digital Vemula is not responsible for changes to third-party services that are outside our reasonable control. Where a third-party service is essential to a project, the applicable dependencies and responsibilities should be documented in the project agreement.

15

Website Availability and Security

We aim to keep our website accessible and functional. However, we do not guarantee that the website will always be available, uninterrupted, error-free, or compatible with every device or browser.

Access may occasionally be affected by maintenance, technical problems, hosting issues, security events, or circumstances beyond our reasonable control.

Nothing in these Terms excludes responsibilities that cannot lawfully be excluded under applicable law.

16

Limitation of Liability

To the extent permitted by applicable law, Digital Vemula will not be liable for indirect or consequential losses arising from the use of this website, reliance on general website information, third-party platform interruptions, or advertising outcomes outside our reasonable control.

This provision does not exclude or limit liability where doing so would be unlawful, including any liability that cannot legally be excluded or limited.

Any liability relating to a paid project will also be subject to the applicable service agreement and mandatory legal requirements.

17

Indemnity

To the extent permitted by applicable law, you may be responsible for losses, claims, or reasonable costs arising from your unlawful use of the website, infringement of third-party rights, or materials and instructions you provide without the necessary authorization.

This section does not apply to the extent a claim results from Digital Vemula's own breach, negligence, unlawful conduct, or other circumstances for which responsibility cannot legally be excluded.

Any additional indemnity obligations for paid services must be expressly addressed in the applicable service agreement.

18

Privacy and Personal Information

Your use of this website may involve the collection and processing of personal information, as described in our Privacy Policy.

Please review our Privacy Policy to understand what information may be collected, how it may be used, and the choices or rights available to you under applicable law.

19

Suspension or Termination

We may restrict or suspend access to the website where reasonably necessary to address security concerns, unlawful activity, misuse, or a material violation of these Terms.

The suspension or termination of paid services will be governed by the relevant client agreement and applicable law.

Termination of website access does not automatically cancel outstanding payment obligations or other rights that have already accrued.

20

Changes to These Terms

We may revise these Terms & Conditions to reflect changes in our website, business operations, services, or legal requirements.

Updated terms will be published on this page with a revised “Last Updated” date. Your continued use of the website after updated terms are published may indicate acceptance where legally recognized.

Where applicable law requires additional notice or consent, we will follow those requirements.

21

Governing Law and Dispute Resolution

These Terms & Conditions are intended to be governed by the laws of India, subject to applicable mandatory legal requirements.

Any dispute arising from the use of this website or these terms should first be addressed through good-faith communication between the parties.

The competent courts and dispute-resolution procedures applicable to a particular matter will be determined in accordance with applicable law and any valid agreement between the parties.

22

Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Any invalid or unenforceable provision should be interpreted or adjusted only to the extent legally permitted to reflect its original purpose.
